1. Acceptance of these Terms
By accessing or using Imbentory ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Service.
2. Description of the Service
Imbentory is a point-of-sale and inventory management platform providing order processing, product and inventory tracking, purchasing, connected-branch management, and reporting tools for businesses ("you", "Customer"). Each Customer is provisioned a dedicated cloud server and an isolated Imbentory environment — not a shared or multi-tenant instance.
3. Accounts & Onboarding
There is no self-service sign-up. Accounts and your dedicated environment are set up by our team after you contact us and choose your setup. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.
4. Subscription Plans & Billing
Imbentory is offered on Basic, Plus, and Pro subscription plans, each running on a dedicated server tier (Standard, Performance, and Scale respectively). All plans include the same full system. Each plan can be billed monthly or yearly; yearly billing is discounted between 10% and 15% compared with paying monthly, depending on the plan. An optional Storefront add-on is billed alongside the plan. Fees are billed in advance for each billing cycle and are quoted in Philippine Pesos (₱) unless stated otherwise.
5. Renewals & Cancellations
Renewals, plan changes, and cancellations are handled manually by our team, not through automatic self-service billing. Contact us before your renewal date to change or cancel your subscription.
A cancellation takes effect on a scheduled end date rather than immediately. Unless you request otherwise, that date is the end of the billing period you have already paid for: the Service remains fully available until then, no further renewal invoices are issued, and the scheduled end date is shown on your Billing page. A cancellation may be withdrawn at any time before that date, restoring the original renewal date. Cancelling does not delete your data or your billing records.
The optional Storefront add-on is cancelled separately from the plan and on the same terms. Cancelling or renewing the plan does not, by itself, cancel or renew the add-on.
First-time customers may cancel within 14 days of activation for a refund of the amount paid, less the hosting cost already incurred for that period. This guarantee may be used once per business and does not apply to renewals, plan changes, or repeat sign-ups.
Cancellations requested after the 14-day guarantee period do not entitle you to a refund for the current billing period, except where required by law. Your access to the Service continues through the end of the period you already paid for; cancellation only stops the next renewal.
6. Expiry & Suspension
If a subscription reaches its end date without being renewed — whether because a renewal was not paid or because a cancellation came due — access to the Service is suspended. You may still sign in to view your subscription and billing status, but the workspace is otherwise locked until the subscription is renewed. Suspension does not delete your Customer Data.
Because your plan includes the dedicated server the Service runs on, suspension also takes any public storefront published under the Storefront add-on offline for the duration. Visitors to a suspended storefront are shown a generic not-found page; no billing or account status is disclosed to them.
Renewing restores access and any published storefront. A renewed plan runs from the date the renewal is paid, so no fees are charged for a period of suspension; correspondingly, no credit is given for that period against the plan. Add-ons that remain entitled during a plan suspension are extended by the length of the suspension, so add-on time is not consumed while the Service is unavailable.
7. Acceptable Use
You agree not to use the Service for any unlawful purpose, to attempt to interfere with its security or availability, or to resell or sublicense access to the Service without our prior written consent.
8. Your Data
You retain ownership of all business, product, and customer data you enter into Imbentory ("Customer Data"). We use Customer Data only to provide and support the Service, as described in our Privacy Policy.
9. Service Availability
We aim to keep Imbentory available and performant, but we do not guarantee uninterrupted access. Scheduled maintenance and factors outside our control, including third-party hosting, may cause downtime.
10. Limitation of Liability
To the maximum extent permitted by law, Imbentory shall not be liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability for any claim is limited to the fees you paid in the three months preceding the claim.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the Philippines.
